As a Corporate Governance Officer, you will play a key role in ensuring legal compliance, corporate governance, and operational efficiency, collaborating closely with global teams and external stakeholders.

The Luxembourg office located in the City Center close to Place de Paris, plays a vital role in supporting the operations and ensuring compliance with local and international standards.

Description

As Corporate Governance Officer, you will have the following responsibilities:

Financial Oversight:

  • Assist the Senior Accounting Manager with financial management, including precise data entry and record-keeping.
  • Support the audit process by organizing and providing necessary documentation.
  • Monitor financial records, ensuring accuracy and compliance with audit requirements.

Company Management:

  • Act as the manager for the client's portfolio companies, ensuring full compliance with legal, regulatory, and corporate governance standards.
  • Represent the companies in all official capacities, including signing legal documents, attending board meetings, and liaising with notaries, regulators, and other stakeholders.
  • Oversee corporate housekeeping, ensuring timely and accurate filing of official documents, publications, and notarial deeds.
  • Provide general office management support to ensure the smooth running of the Luxembourg office.

Legal & Compliance:

  • Provide support to legal teams outside Luxembourg on compliance and governance matters.
  • Respond to internal KYC and AML requests, ensuring adherence to relevant regulations.
  • Draft and review simple legal documents, such as board and shareholder resolutions, proxies, and official filings.
  • Coordinate with notaries and public registries to ensure proper documentation and compliance.

Profile

The successful Corporate Governance Officer has the following qualities:

  • Bachelor's degree in Business Administration or Law.
  • 5 years of relevant experience in Luxembourg, preferably in a small/medium service provider.
  • Strong understanding of corporate governance, legal, and accounting processes.
  • Proficient in Microsoft Office, with excellent organizational and multitasking abilities.
  • Strong written and verbal communication skills in English; French is a plus.
  • Independent and team-oriented.
