Description
As Corporate Governance Officer, you will have the following responsibilities:
Financial Oversight:
- Assist the Senior Accounting Manager with financial management, including precise data entry and record-keeping.
- Support the audit process by organizing and providing necessary documentation.
- Monitor financial records, ensuring accuracy and compliance with audit requirements.
Company Management:
- Act as the manager for the client's portfolio companies, ensuring full compliance with legal, regulatory, and corporate governance standards.
- Represent the companies in all official capacities, including signing legal documents, attending board meetings, and liaising with notaries, regulators, and other stakeholders.
- Oversee corporate housekeeping, ensuring timely and accurate filing of official documents, publications, and notarial deeds.
- Provide general office management support to ensure the smooth running of the Luxembourg office.
Legal & Compliance:
- Provide support to legal teams outside Luxembourg on compliance and governance matters.
- Respond to internal KYC and AML requests, ensuring adherence to relevant regulations.
- Draft and review simple legal documents, such as board and shareholder resolutions, proxies, and official filings.
- Coordinate with notaries and public registries to ensure proper documentation and compliance.
Profile
The successful Corporate Governance Officer has the following qualities:
- Bachelor's degree in Business Administration or Law.
- 5 years of relevant experience in Luxembourg, preferably in a small/medium service provider.
- Strong understanding of corporate governance, legal, and accounting processes.
- Proficient in Microsoft Office, with excellent organizational and multitasking abilities.
- Strong written and verbal communication skills in English; French is a plus.
- Independent and team-oriented.
