Our client is a Fund Management Company located in the city center of Luxembourg. They are a leading global fixed income asset manager with headquarters in London. They are responsible for approximately $25 billion of AuM for institutions and high-net worth individuals.
In order to maintain a high level of legal administration for the Management Company and its managed funds, the Head of Corporate Services is looking for an experienced Corporate Secretary with a good knowledge of the Luxembourg fund industry.
The Role
- Offer extensive assistance in the preparation of documents related to Board of Directors and Shareholder meetings: coordinating venue logistics, convening meetings, creating agendas and Boardpacks, managing statutory returns and filings.
- Ensure the timely and precise preparation of meeting minutes, encompassing the production, distribution, and tracking of all action points.
- Oversee all statutory filings, adhering to jurisdictional requirements, and guarantee the prompt payment of relevant fees.
- Manage RCS/RBE filings, annual account approvals, and engage with external stakeholders such as notaries, lawyers, and administrations.
- Participate in corporate secretarial support for the establishment of corporate entities in various jurisdictions.
- Provide day-to-day operational support and administration for both Luxembourg and overseas entities.
- Organize and maintain filing systems, ensuring proper storage of information, and regularly updating databases.
The Profile
- Require a minimum of 5 years of experience in a comparable role or its equivalent.
- Possess robust analytical, communication, and organizational skills, both in verbal and written forms.
- Demonstrated agility and the ability to adapt quickly.
- Possess a solid understanding of laws and regulations relevant to funds and Luxembourg commercial companies.
- Proficient in both English and French languages.
